ITEM 5. OTHER EVENTS.
On November 26, 2003, Fab Industries, Inc. announced that the
management-led buyout group that had previously made a preliminary offer to
acquire the business, as a going concern, had withdrawn its offer. The press
release announcing the foregoing is attached as Exhibit 99.1 to this report and
is incorporated by reference into this item. The letter from the management-led
buyout group is attached as Exhibit 99.2 to this report and is incorporated by
reference into this item.
